Please read these Terms of Use ("Terms") carefully and completely before using this Site. By entering this Site or the links accessible through this Site or mobile applications, you expressly agree to be bound by these Terms. The information and the resources contained on and accessible through this Site are made available by iseekplant, and/or its Suppliers, and are subject to your agreement to their terms and conditions.

These Terms may be modified or varied by iseekplant at any time (either with or without notice) and the most recent version will be published on our Site under the Terms of Use link. Any such modifications shall be effective immediately upon posting.

1. INTRODUCTION

1.1 iseekplant provides online Platforms that enable Seekers to post job requests and enable Suppliers to respond to those requests. iseekplant does not arrange, provide, perform, supervise or contract for any services advertised or supplied by Users.

1.2 iseekplant is not a party to, and has no involvement in, any agreement, transaction or arrangement entered into between a Seeker and a Supplier. All agreements for goods or services are made directly between the relevant Users.

1.3 iseekplant does not collect, process, handle or hold payments, fees or consideration for any goods or services advertised or supplied by Users. All pricing, invoicing, payment terms, payments and payment disputes are strictly a matter between the relevant Seeker and Supplier.

1.4 Nothing on the Platforms, including any listings, search results, AI Outputs or communications, constitutes a recommendation, endorsement or validation of any User, goods or services.

2. COPYRIGHT TRADEMARKS AND LICENCE

2.1 All materials on iseekplant Sites and associated servers or mobile applications, including the Site's design, layout, organisation, data and images are owned and copyrighted © ISEEKPLANT Pty Ltd, or the relevant Supplier, and are protected by Australian and international copyrights. All rights reserved. iseekplant makes this Site available for the sole purpose of providing general information on related issues and to provide Internet access to related resources.

2.2 iseekplant and other names of iseekplant product and/or services referenced herein are trademarks or registered trademarks of ISEEKPLANT Pty Ltd. Other product and company names mentioned on the Site may be the trademarks of their respective owners.

2.3 In consideration of ISEEKPLANT Pty Ltd allowing you to access, use and submit content to the Site you grant to ISEEKPLANT Pty Ltd a non-exclusive, payment and royalty free, perpetual, world-wide, non-revocable licence to, use, reproduce, modify, delete, distribute, transmit, adapt, publish, make derivative works of, and otherwise commercialize and exploit any material you post, upload or otherwise transmit via the Site or otherwise submit to ISEEKPLANT Pty Ltd ("Content"), and to sub-licence the Content in any form and for such purposes as iseekplant determines from time to time (subject to the iseekplant Privacy Policy) on its own site, on affiliates sites and other sites on the internet.

2.4 You warrant that:

(a) You own, or hold any necessary licence of any intellectual property rights in any Content;
(b) In utilising any Content, ISEEKPLANT Pty Ltd will not infringe, violate or otherwise conflict with any intellectual property rights owned by a third party; and
(c) Utilising any Content will not compromise the security or operation of ISEEKPLANT Pty Ltd's computer systems, through a virus or otherwise.

3. USE OF ISEEKPLANT SITE AND MOBILE APPLICATIONS

By using this Site, you expressly agree to be bound by these Terms.

3.1 In using the Site, mobile applications and AI Tools, you must not:

(a) change or delete any copyright or proprietary notice from materials downloaded from this Site or any site accessible through this Site, or through any other iseekplant properties;
(b) modify, copy, distribute, transmit, display, perform, reproduce, publish or license any material from this Site;
(c) use or attempt to use any material published on the Site to create any website or publication;
(d) mirror or frame any website or page within the Site;
(e) use any automated process of any sort to query, access or copy any material on the Site or generate or compile any document or database based on the material published on the Site; or
(f) transfer or sell any information, functionality or products or services offered on the Site; without the written approval of iseekplant.

3.2 iseekplant may terminate your right to access and use the Site at any time.

3.3 Any requests for iseekplant.com.au's permission to publish, copy, reproduce, distribute, transfer, or otherwise use any materials contained in the web site should be directed through to www.iseekplant.com.au/contact-us

3.4 iseekplant.com.au makes this site available for the sole purpose of providing general information on related topics and providing Internet access and search engines to identify various resources, products and services listed on the web site.

3.5 iseekplant does not select Suppliers, negotiate terms, make representations, give advice, or assume responsibility on behalf of any User.

3.6 Users are solely responsible for:

(a) assessing project requirements and suitability of goods or services;
(b) verifying information provided by other Users;
(c) negotiating, entering into and performing any agreement; and
(d) complying with all applicable laws.

3.7 This Site may not be used as a supplement or alternative for services, and is not intended and does not warrant or guarantee the quality or quantity of any services of any of the advertisers or Suppliers identified; further, the information provided is merely for educational and informational purposes, and its accuracy is not guaranteed. Do not use this Site as a substitute for precise information or advice.

3.8 Please consult with our advertisers or Suppliers directly regarding any further information or questions you may have. This Site is not maintained by the products and or service providers displayed and should not be used for advice. Do not use this Site to disregard any other advice, nor to delay seeking advice or representation, because of something you read or see in this Site.

3.9 You acknowledge that a Supplier's inclusion, prominence or frequency of appearance in any search results, AI Outputs, recommendations, enquiries or AI‑assisted interactions on or through the Platform is not guaranteed.

3.10 The operation of the Platform, including the use of AI Tools, may result in some Suppliers being presented to Users more or less frequently than others, or not at all, depending on a range of automated, contextual and operational factors. These factors may include User inputs, job requirements, location, category relevance, availability indicators, response behaviour, system logic, Platform configuration, and operational considerations.

3.11 iseekplant does not warrant or represent that any Supplier will receive a minimum level of visibility, exposure, enquiries or outcomes through the Platform or any AI Tools, and is not obliged to ensure that all Suppliers are presented in any particular interaction.

3.12 To the maximum extent allowable at law, you understand and agree that iseekplant is not responsible or liable for any claim, loss, or damage, of any kind, directly or indirectly resulting from your use of the information or the resources contained on or accessible through the Site, or from your interaction with any other User of the Site. iseekplant expressly disclaims any implied warranty or representation about the information or its accuracy, relevance, timeliness, completeness, or appropriateness for any particular purpose of any kind.

3.13 Your use of this Site is also subject to all additional disclaimers and caveats that may appear throughout the Site.

3.14 iseekplant may provide you with the ability to communicate with iseekplant, Users, and advertisers through agreements, online forms, IVR, electronic requests and enquires, bulletin boards, blogs, competition entries, SMS, online forums, inbound phone number services and other forms of electronic messaging.

3.15 You acknowledge that communications through iseekplant may be public and not private communications. Further, you acknowledge that communications should not be considered reviewed, screened, or approved by iseekplant.

3.16 You agree and acknowledge that we may provide a concierge answering and call-handling services for Suppliers and Seekers on the Site. We provide these services to ensure that using the Site is quick and efficient for Suppliers and Seekers searching for Suppliers and to ensure all User accounts are current. These services may be provided by AI or other automated systems, are administrative and facilitative only and may include asking questions, capturing contact details and job information, creating, progressing, categorising or routing enquiries, and providing general information about using the Platform. They do not involve iseekplant selecting Suppliers, negotiating terms, making representations, or entering into arrangements on behalf of any User.

3.17 Calls may be recorded, transcribed, summarised and analysed using AI and automated systems for operational, quality assurance, analytics, training and Platform improvement purposes. You will be notified about this on each call and if you do not consent to the recording of calls and the processing/use of such calls, you must either terminate the call or use any option available on the call to notify us that you do not consent.

3.18 iseekplant may make available AI Tools that operate on behalf of individual Suppliers, including virtual assistants that answer calls, chat with Users, capture enquiries for Supplier follow-up or generate quotes and invoices. Where such tools operate on behalf of a Supplier, they do so under the Supplier's direction. iseekplant is not responsible for the Supplier's responses, follow-up, accuracy of information, or compliance with applicable obligations, and such tools do not bind iseekplant or create any contractual relationship on its behalf.

3.19 Use of the iseekplant communications services and AI Tools is provided on condition that you do not do any of the following:

1. transmit any information or material which is knowingly incorrect, misleading or deceptive;
1. transmit any defamatory, infringing, obscene, indecent or unlawful information or material;
1. use the communications services for any unlawful purpose;
1. post or upload files that contain software or other material or information in breach of any person's intellectual property or privacy rights;
1. upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer;
1. delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded;
1. advertise or offer to sell any goods or services, or conduct or forward surveys, contests or chain letters other than as approved by iseekplant.com.au;
1. download any file posted by another User that you know, or reasonably should know, is unlawful or contrary to these Terms;
1. excessively use the communications services in a manner which may hinder or prevent iseekplant from providing services to any other persons or which may threaten the integrity or use by any person of iseekplant;
1. authorise, aid, abet, encourage or incite any person to do any of the above acts.

3.20 iseekplant may, but has no obligation to do so, review communications by you and delete, edit, refuse to post or remove in whole or part any information or material uploaded or posted on the Site.

3.21 You hereby consent to allow iseekplant and its service providers to send you promotional material from time to time. You may opt out of receiving promotional material at any time by using the unsubscribe function provided in the material.

3.22 You agree to abide by iSeekplant's Review Posting Guidelines.

4. AI TOOLS AND FUNCTIONALITY

4.1 iseekplant may make AI Tools available to Users.

4.2 To use the AI Tools, you must provide text or voice input to receive related output ("AI Output"). You acknowledge and agree that:

(a) AI Outputs may include responses, summaries, classifications, suggested enquiries, Supplier suggestions, and other informational content based on User inputs, marketplace data and system logic;
(b) AI Output may not be accurate, complete, free of errors, or unique;
(c) iseekplant does not make any warranty as to the AI Tools, AI Output, the results that may be obtained from the use of the AI Tools or the accuracy of any information obtained through the AI Tools, including with respect to the factual accuracy of any AI Output or suitability for your use. AI Output is for general information purposes and does not constitute advice. You should not rely on factual assertions in AI Output without independently fact checking their accuracy and assessing the suitability for your use, including where AI Output presents Suppliers in response to a Seeker's enquiry.

4.3 You must not:

(a) use the AI Tools or any AI Outputs in breach of these Terms or any applicable law;
(b) use the AI Tools or generate any AI Outputs that we reasonably consider to be unlawful, infringing on any third party's rights (including intellectual property rights), misleading, deceptive, discriminatory, harmful, otherwise inappropriate, or in breach of these Terms;
(c) attempt to reverse engineer, copy, or extract the underlying models or training data;
(d) scrape or attempt to scrape data from the Software, the Platform, or any iseekplant platform or website; or
(e) facilitate, authorise, or instruct any other person to do anything set out in this clause 4.3.

4.4 iseekplant may introduce new AI features and functionality from time to time, and these will be considered part of the AI Tools and will be governed by these Terms.

5. SOFTWARE

5.1 Any software, including HTML code and ActiveX controls, that is made available to download from the Site ("Software") is owned or licensed by iseekplant.

5.2 Your use of the Software is governed by the terms of the end user licence agreement, if any, which accompanies or is included with the Software ("Licence Agreement"). You must agree to the terms of the Licence Agreement before using the Software.

5.3 If there is no Licence Agreement, iseekplant grants you a personal, non-transferable licence to use the Software for viewing and otherwise using the Site in accordance with these Terms, and for no other purpose. You must not:

(a) copy, reproduce, translate, adapt, vary or modify in whole or in part the Software;
(b) reverse assemble or reverse compile or directly or indirectly allow or cause a third party to reverse assemble or reverse compile, in whole or in part, the Software;
(c) introduce or use any device, software or routine that interferes or attempts to interfere with the operation of the Software; or
(d) sub-license, rent, lease, lend or grant to any person any rights to use the Software other than as set out in this paragraph.

6. INDEMNIFICATION

6.1 You agree to indemnify, defend, and hold harmless iseekplant from any liability, loss, claim, and expense (including reasonable solicitors' fees) suffered or incurred by iseekplant related to your violation of these Terms or use of this Site in any manner which is in breach of these Terms or applicable law.

6.2 Your use of this Site shall constitute your acceptance of these Terms, as revised and modified, if any, each and every time you access this Site.

7. WARRANTY AND LIABILITY

7.1 To the maximum extent permitted by law, iseekplant disclaims all express or implied representations or warranties with regard to the information, services, products, materials, and any other resources contained on or accessible through this Site, including without limitation any implied warranties of merchantability or fitness for a particular purpose. All information provided by iseekplant is made available "as is" and "as available" without warranty of any kind, or any express or implied promise, including, by way of example, its continuing availability.

7.2 To the maximum extent permitted by applicable law, in no event shall iseekplant be liable for any direct, indirect, special, punitive, incidental, exemplary, contractual, or consequential damages, or any damages whatsoever of any kind, resulting from any loss, which by way of example, includes loss of use, loss of data, loss of profits, loss of opportunity, loss of revenue, business interruption, litigation, or any other pecuniary loss, whether based on breach of contract, tort (including negligence), product liability, or otherwise, arising out of or in any way connected with the use or performance of this Site, with the delay or inability to use this Site, or with the provision of or failure to make available any information, services, products, materials, or other resources contained on or accessible through this Site, even if advised of the possibility of such damages.

7.3 With respect to products, goods, or services purchased from any entity identified, listed, named or contacted through iseekplant Sites (including Users), or any links from iseekplant's Sites, in no event is iseekplant responsible for, and to the maximum extent permitted by law iseekplant excludes all liability for, any loss or damage arising from or in connection with the supply, failure to supply, quality, or performance of those products, goods or services.

7.4 This clause 7 does not exclude or modify any rights which cannot be excluded or modified under the Australian Consumer Law.

8. EXTERNAL SITES

8.1 This Site also includes links to other Internet sites created and maintained by iseekplant's Users. Be aware that iseekplant does not control, makes no guarantees about, and, to the extent permitted by law, disclaims any express or implied representations or warranties about the accuracy, relevance, timeliness, completeness, or appropriateness for a particular purpose of the information or the resources contained on these or any other Internet sites. Further, the inclusion of these links is merely for your convenience and is not intended and does not reflect iseekplant's opinion on the accuracy or the importance of these other sites; further, iseekplant does not endorse in any manner any of the views expressed in, or products or services offered by this or these other sites.

8.2 All information in any iseekplant Site, or associated or linked site, is extracted, read, used, or relied upon by you at your own risk.

9. GOODS AND SERVICES PROVIDED BY ISEEKPLANT.COM.AU

9.1 If iseekplant offers goods or services to you, including advertising, the services may be subject to additional terms and conditions. To the extent of any inconsistency between these Terms and the additional terms and conditions, the additional terms will prevail.

10. INDIGENOUS OWNERSHIP & AFFILIATION

iseekplant is committed to supporting efforts to promote and identify indigenous owned and affiliated businesses supplying to mining, resources and infrastructure projects.

10.1 Suppliers listed on the Site may have the Aboriginal Flag present on their listing.

10.2 Businesses must comply with the following conditions, as recognised by iseekplant.com.au to claim this denotation:

(a) Be majority owned, or part owned by an indigenous person, group of people, company or Trust
(b) Have a minimum of 25% of its workforce staffed by indigenous people
(c) Undertake extensive social and community programs to the benefit of indigenous communities

10.3 iseekplant reserves the right to determine the validity of businesses making these claims through any means possible and to remove the denotation from listings if it can be substantiated that the business does not comply with these conditions.

10.4 iseekplant takes no responsibility for the representations made by Users and customers on the Site, with respect to indigenous ownership or affiliation and does not warrant that these claims are true or correct.

11. GENERAL

11.1 iseekplant's failure to insist upon strict enforcement of any provision(s) of these Terms shall not be construed as a waiver of any provision or right.

11.2 These Terms and the resolution of any dispute related to these Terms or this Site shall be governed by and construed in accordance with the laws of Queensland, without giving effect to any principles or conflicts of law. Any legal action or proceeding between iseekplant and you, related to these Terms or this Site shall be brought exclusively in a state or federal court of competent jurisdiction sitting in the state of Queensland.

12. PRIVACY POLICY

12.1 iseekplant collects, holds, uses and discloses personal information in accordance with its privacy policy. This includes recording telephone calls made to Suppliers through numbers provided by iseekplant on this Site and other sites on the internet, and transcribing, summarising and analysing calls ("processing") using AI and automated systems as set out in clause 3.17.

12.2 Suppliers consent to iseekplant's handling of personal information, including such recording and processing of calls, as a condition of membership/subscription.

12.3 Suppliers must ensure that:

(a) their staff are aware that telephone calls to those staff made through iseekplant numbers may be recorded and processed; and
(b) any staff receiving such calls have consented to the recording and processing.

12.4 Suppliers agree to indemnify iseekplant and its agents, staff and contractors ("those indemnified") from and against any costs, expenses, losses, damages, claims, demands, proceedings, and other liability those indemnified incur or suffer, directly or indirectly, however caused, arising wholly or partially, directly or indirectly in connection with Suppliers' failure to fulfil their obligations under clause 12.3. This indemnity shall apply to the fullest extent permissible by law, subject to any guarantee, condition or warranty (such as the consumer guarantees implied by the Competition and Consumer Act 2010 (Cth)), which cannot by law be excluded.

13. DEFINED TERMS

(a) "AI Outputs" has the meaning given to that term in clause 4.2.
(b) "AI Tools" means any automated or artificial intelligence-enabled tools, systems, or functionality made available on or through the Platform.
(c) "iseekplant", "we", "us" or "our" means ISEEKPLANT Pty Ltd.
(d) "Platform" or "Site" means our websites at www.iseekplant.com.au, gofer.tech and all associated websites and applications, and improvements thereto.
(e) "Seeker" means any person that uses or accesses the Platform to submit, generate, refine or communicate a search request, request‑for‑quotation or sourcing enquiry, including by providing information via chat, voice, document upload or other AI‑enabled functionality, for the purpose of identifying or engaging Suppliers of goods or services.
(f) "Supplier" means any person that uses or accesses the Platform or iseekplant's services to offer, advertise or promote goods or services, respond to search requests or enquiries, receive or manage leads, or otherwise make its goods or services available to Seekers or third parties.
(g) "User" or "you" means the person who has signed up to use the Platform, whether as the Seeker, Supplier, or otherwise.
